1. Agreement to Terms
By accessing or using Portal Juice ("Service"), including our website (portaljuice.io) and HubSpot marketplace applications (SmartFields AI, Reactivation Engine, CRM Health Monitor), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, do not use our Service.
2. Description of Service
Portal Juice provides AI-powered applications for HubSpot CRM that:
- SmartFields AI: Analyzes HubSpot timeline activity and suggests CRM property values
- Reactivation Engine: Generates personalized emails for cold leads and lost opportunities
- CRM Health Monitor: Scans HubSpot portals for data quality issues and provides health scores
3. Eligibility
You must:
- Be at least 18 years old
- Have the authority to bind your organization to these Terms
- Have an active HubSpot account (any tier)
- Provide accurate and complete registration information
4. Account and Subscription
4.1 Account Creation
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of unauthorized access
4.2 Subscription Plans
We offer multiple subscription tiers:
- Free Tier: Limited usage with no credit card required
- Starter ($49/month): Increased limits and premium features
- Professional ($149/month): Unlimited usage and advanced features
- Bundle Plans: Discounted pricing for multiple apps
4.3 Free Trial
- New customers receive a 14-day free trial of paid plans
- Credit card required at signup
- Automatic conversion to paid subscription unless canceled before trial ends
- One free trial per customer
4.4 Billing
- Subscriptions are billed monthly in advance
- Payments processed securely through Stripe
- You authorize recurring charges to your payment method
- Failed payments may result in service suspension
- Prices subject to change with 30 days' notice
5. Acceptable Use
You agree NOT to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Use our Service to send spam or unsolicited messages
- Abuse, harass, or harm other users
- Upload malware, viruses, or malicious code
- Scrape, crawl, or extract data from our Service without permission
- Resell or redistribute our Service without authorization
- Use the Service to compete with Portal Juice
6. HubSpot Integration
6.1 Authorization
By connecting Portal Juice to your HubSpot account via OAuth:
- You grant us permission to access specified HubSpot data
- You represent that you have authority to grant this access
- You can revoke access at any time through HubSpot's settings
6.2 Data Access
Portal Juice only accesses HubSpot data necessary to provide our services:
- Records you explicitly choose to analyze
- Timeline activity for those records
- Property schemas and field definitions
- User information for authentication
6.3 Data Modifications
- We only modify HubSpot data when you explicitly approve changes
- All AI suggestions must be reviewed and accepted by you before application
- We are not responsible for data changes you authorize
7. AI and Data Processing
Our AI features:
- Use third-party AI services (Claude by Anthropic)
- Provide suggestions and recommendations, not guarantees
- May not always be accurate - you are responsible for reviewing outputs
- Do not use your data to train AI models (per our agreement with AI providers)
You are responsible for:
- Reviewing AI-generated suggestions before applying them
- Ensuring compliance with your own data policies
- Any consequences of changes made to your CRM data
8. Intellectual Property
8.1 Our Property
Portal Juice and all related software, designs, trademarks, and content are owned by MergeYourData and protected by intellectual property laws.
8.2 Your Data
You retain all rights to your HubSpot data. By using our Service, you grant us a limited license to access and process your data solely to provide our services.
8.3 Feedback
If you provide feedback or suggestions, we may use them without obligation or compensation to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not guarantee:
- Uninterrupted or error-free operation
- Accuracy, reliability, or completeness of AI suggestions
- Compatibility with all HubSpot configurations
- That the Service will meet your specific requirements
- That defects will be corrected
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTAL JUICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.
Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless Portal Juice, its affiliates, and employees from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your HubSpot data or how you use it
12. Termination
12.1 By You
You may cancel your subscription at any time:
- Via your account settings
- By emailing support@portaljuice.io
- Access continues until end of billing period
- No refunds for partial months
12.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails
- We discontinue the Service (with 30 days' notice)
- Required by law
12.3 Effect of Termination
Upon termination:
- Your access to the Service ends immediately
- We may delete your data within 90 days
- You remain liable for any outstanding fees
13. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via:
- Email to your registered address
- Prominent notice on our website
Continued use after changes constitutes acceptance. If you disagree with changes, cancel your subscription.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes shall be resolved in the courts of Delaware.
15. Miscellaneous
15.1 Entire Agreement
These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Portal Juice.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.3 Waiver
Our failure to enforce any right does not constitute a waiver of that right.
15.4 Assignment
You may not transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
